Please read these Terms carefully.

By accessing or using Eazee Stay (the "Platform", "Service", or "Services"), including our website at eazeestay.com, applications, APIs, booking engines, and related products, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services. If you accept on behalf of a hotel, company, or other legal entity, you represent that you have authority to bind that entity.

1.Acceptance of Terms

These Terms form a legally binding agreement between you ("you", "your", "Customer", "Hotel", or "User") and the operator of Eazee Stay ("Eazee Stay", "we", "us", or "our"), with principal place of business at Behind Cargo Honda, Shivkrupa Nagar, Bhuj, Gujarat 370001, India.

Your continued use of the Services after any update to these Terms constitutes acceptance of the revised Terms. We may also require you to accept updated Terms when you renew a subscription, add a property, or enable a material feature such as payment gateway connectivity.

22.Definitions

  • "Account" means the credentials and workspace used to access the Platform on behalf of one or more hotels or property groups.
  • "Booking Engine" means our guest-facing and headless booking interfaces, APIs, widgets, and confirmation flows that enable availability search, rate display, reservations, and related guest communications.
  • "Customer Content" means data, text, images, rates, policies, guest information, invoices, and other materials you or your authorised users submit to or generate through the Services.
  • "Guest" means an end consumer who searches, books, pays for, or stays at your property through channels powered or facilitated by the Services.
  • "Payment Gateway" means a third-party payment processor (including, without limitation, Razorpay) that you connect to the Platform so that Guest payments may be collected.
  • "PMS" means the property management system features of Eazee Stay, including inventory, rates, bookings, housekeeping, payments ledgers, invoicing, and operational tooling.
  • "Website Builder" means tools and hosting-related capabilities that enable you to publish a hotel website, landing pages, or branded booking experiences.

3.Description of Services

Eazee Stay is a cloud-based hospitality software platform designed for independent hotels, boutique properties, and multi-property operators. Depending on your plan and configuration, the Services may include:

  • A full-featured property management system for inventory calendars, rate management, demand profiles, bookings, guest folios, GST/non-GST invoicing, outstanding payments, and team access control.
  • A hotel website builder and related publishing tools for marketing your property and driving direct bookings.
  • Guest booking engines (including embedded, hosted, and headless/API booking experiences) that consume your live availability, rates, and inventory (ARI).
  • Payment connectivity that allows you to link your own Payment Gateway accounts (for example via OAuth with Razorpay) so Guests can pay you directly for stays and related charges.
  • Supporting features such as notifications, exports, analytics, subscription management, and administrative tools.

We may improve, add, suspend, or discontinue features with reasonable notice where practicable. Beta or trial features may be provided "as is" and may change or be withdrawn without liability.

4.Eligibility & Accounts

4.1 Eligibility

You must be at least 18 years of age and capable of forming a binding contract under applicable law. The Services are intended for commercial hospitality operators and their authorised staff, agents, and service providers — not for personal consumer use as a guest booking marketplace operated by Eazee Stay.

4.2 Account registration

You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for all activity under your Account, including actions by staff members, agents, and third parties you invite. You must safeguard passwords, API keys, and access tokens, and notify us promptly of any unauthorised use.

4.3 Multi-user & multi-property access

If you grant role-based access to team members or manage multiple hotels or property groups, you remain responsible for ensuring each user complies with these Terms and that permissions reflect your internal authority structure.

55.Subscriptions, Fees & Taxes

5.1 Plans and billing

Access to the Services is typically provided on a subscription basis (including trials, paid plans, and custom enterprise arrangements). Fees, billing intervals, included properties, and feature entitlements are as stated at signup, in your order form, invoice, or in-product subscription screens.

5.2 Payment of platform fees

Platform subscription fees are payable to Eazee Stay (or our designated billing provider) in the currency and method specified at checkout or invoice. Unless otherwise stated, fees are non-refundable except where required by law or expressly agreed in writing. Failure to pay may result in suspension or termination of access.

5.3 Taxes

Fees are exclusive of applicable taxes (including GST) unless shown otherwise. You are responsible for taxes arising from your purchase of the Services and from your own hospitality operations. We may collect tax where legally required.

5.4 Changes to pricing

We may change subscription pricing with reasonable advance notice for renewals. Continued use after the effective date of a price change constitutes acceptance for the subsequent billing period.

6.Property Management System & Operational Responsibility

The PMS is a technical tool designed to assist in operating your property. We are a technology provider and do not manage or control your physical property operations, hospitality bookings, or business management.

CRITICAL COMPLIANCE NOTICE FOR HOTELIERS

Eazee Stay is a technology platform provider only. We do not verify, audit, or control how you manage your bookings, accounting, taxes, or other governmental compliances. It is your sole responsibility to ensure that all your operations conform to local, state, and national laws.

For Example (Tax & GST Compliance): Eazee Stay provides flexible system configurations (including custom tax slabs, billing profiles, and invoice entries) to allow properties to adapt to their local operational requirements. You are solely responsible for ensuring that all tax rates, profiles, and billing configurations on the platform are set up and reported in strict compliance with the laws of your jurisdiction. Any misconfiguration, under-declaration, or failure to remit applicable GST or other hospitality taxes is entirely your liability, and Eazee Stay is not responsible for auditing your tax configurations or business compliance.

6.1 Categorized Hoteliers' Responsibilities

As a user of the Eazee Stay PMS, you explicitly agree that you are solely responsible for:

Tax & Government Compliance

  • Filing all applicable hospitality tax returns, room GST, local municipal levies, and food & beverage taxes.
  • Ensuring correct configuration of GSTIN and tax slabs in your PMS settings.
  • Assessing, declaring, and remitting taxes on all booking revenues, including cash, card, and online checkout payments.
  • Maintaining valid business licences, fire safety certificates, police records, and hospitality operations permits.

Accounting & Billing

  • Generating and issuing valid tax invoices or bills of supply directly to guests.
  • Reconciling daily and monthly accounts, card terminal settlements, and cash drawers.
  • Ensuring books of account are maintained in compliance with accounting standards and corporate/commercial laws.
  • Verifying that the bills, taxes, and service charges printed or sent via WhatsApp match local regulations.

Booking & Operational Accuracy

  • Maintaining accurate and up-to-date room availability (ARI) to prevent overbookings and double allocations.
  • Double-checking rate configurations, meal plan prices, and seasonal demand overrides before publishing.
  • Verifying guest identities, registrations, check-ins, and check-outs at the reception desk.
  • Confirming all cancellations and initiating refunds through linked gateways when required.

Staff Training & Controls

  • Providing adequate system training to your receptionists, managers, and accountants.
  • Monitoring user logs and setting appropriate roles and permissions for your staff.
  • Verifying override actions, cash entries, and credit limits authorized by your employees.

Dates in booking records are handled as timezone-neutral calendar dates where applicable. You should verify date displays against your property's local operating day and policies.

7.Hotel Website Builder

Where enabled, the Website Builder allows you to create and publish property websites or landing experiences that may integrate with the Booking Engine.

  • You are responsible for the accuracy and legality of all content published on websites created with the Services, including room descriptions, images, amenities, pricing displays, and marketing claims.
  • You must have all rights and consents needed for photos, logos, trademarks, guest reviews, and third-party content you upload or display.
  • You must not use the Website Builder to host malware, phishing, unlawful adult content, or content that infringes others' rights.
  • Domain configuration, DNS, SSL, and third-party hosting arrangements (where applicable) may require your cooperation. Downtime caused by external DNS or registrar issues is outside our control.
  • We may display discreet "Powered by Eazee Stay" or similar attribution unless your plan provides white-label options.

8.Guest Booking Engines

Our Booking Engines enable Guests to discover availability and make reservations directly with your property. Important clarifications:

8.1 You are the merchant of the stay

Unless a specific product states otherwise in writing, the contract of accommodation is solely between you and the Guest. Eazee Stay is a software provider and is not the hotel operator, travel agent of record, or party to the stay agreement. You set rates, policies, inventory, and guest service standards.

8.2 Booking confirmations

A booking is confirmed according to the rules of the relevant flow (for example, after successful payment verification, or upon hold conversion as configured). You must honour confirmed bookings made through authorised channels while inventory was available, subject to your published policies and applicable law.

8.3 Guest communications

The Platform may send transactional messages (confirmation, payment links, reminders) on your behalf. You are responsible for the content of custom messages and for ensuring guest contact data is accurate and lawfully obtained.

8.4 APIs and integrations

If you use public or partner APIs, API keys, or channel integrations, you must protect credentials, respect rate limits, and not reverse-engineer or abuse the API. We may suspend keys that threaten platform stability or security.

9.Payment Processing & Gateway Connections

Core principle: Guest money flows to you

Eazee Stay enables you to connect your own Payment Gateway accounts (such as Razorpay) so that Guests pay you (or your linked merchant account) for bookings and related charges. Except where we expressly act as a billing merchant for platform subscription fees, or where a specific product uses a documented split/route arrangement, we are not the payment recipient for Guest stay payments.

9.1 Connecting your Payment Gateway

You may connect supported Payment Gateways through secure methods we provide, including OAuth authorisation, API key configuration, linked accounts, or other integration flows we enable from time to time. By connecting a gateway, you:

  • Represent that you are authorised to link that merchant account to the Platform and that the account is held in the name of the correct legal entity for your property.
  • Agree to complete any KYC, onboarding, bank verification, or compliance steps required by the Payment Gateway provider.
  • Authorise us to initiate payment sessions, payment links, orders, refunds (where enabled), and webhooks necessary to operate booking and reconciliation features on your behalf.
  • Agree that gateway credentials, tokens, and webhook secrets must be kept confidential and rotated if compromised.

9.2 Relationship with Payment Gateways

Payment Gateways are independent third parties. Your use of Razorpay or any other processor is also governed by that provider's terms, policies, and fee schedules. Eazee Stay does not control:

  • Settlement timelines, holds, chargebacks, or reserve policies of the Payment Gateway.
  • Bank downtime, card network failures, UPI outages, or processor API interruptions.
  • Merchant risk decisions, account freezes, or KYC rejections by the Payment Gateway or banks.

Disputes about settlement of Guest funds should be raised with your Payment Gateway and bank in the first instance. We will reasonably assist with technical logs and booking references where available.

9.3 Merchant of record for Guest payments

For direct Guest payments processed through your connected gateway:

  • You (or your linked merchant entity) are typically the merchant of record or payee for the accommodation transaction.
  • You are responsible for refunds, partial refunds, cancellations, no-show charges, chargebacks, and guest payment disputes in accordance with your policies and applicable law.
  • You must ensure that amounts charged match the rates, taxes, and extras disclosed to the Guest at the time of booking or modification.
  • You are responsible for issuing receipts/invoices for Guest payments and for your GST or other tax obligations on hospitality revenue.

9.4 Platform fees vs Guest payments

Do not confuse the two payment flows:

  • Platform subscription / licence fees — paid by you to Eazee Stay for use of the software.
  • Guest payments — paid by Guests for rooms and services, processed via your connected Payment Gateway to you (subject to gateway fees and any separately agreed product economics).

9.5 Split payouts, Route, and commissions

Certain features may use split settlement, payment routing, or platform commission models (for example Razorpay Route or similar). Where such a feature is enabled:

  • The commercial terms (including any platform commission percentage) will be disclosed in product settings, an order form, or a separate agreement.
  • You authorise the technical split of payments solely as configured and agreed.
  • You remain responsible for the full Guest-facing price and for any tax treatment of amounts received after splits.

If no split/commission product is enabled, Guest payments are intended to settle to your merchant account without Eazee Stay taking a share of the room revenue.

9.6 Webhooks, reconciliation & idempotency

Payment status in the Platform depends on gateway webhooks, API verification, and reconciliation jobs. You acknowledge that temporary mismatches may occur due to network latency or delayed notifications. You should not release inventory or check in Guests solely on an unverified client-side success screen when the product instructs server-side verification. We implement safeguards such as event idempotency for processed webhook events; you must not attempt to replay or forge payment confirmations.

9.7 Prohibited payment practices

You must not:

  • Use the Platform to process payments unrelated to legitimate hospitality or travel services for your properties.
  • Attempt to circumvent gateway fraud tools, use stolen instruments, or launder funds.
  • Misrepresent cancellation or refund policies to Guests after payment.
  • Share live gateway secrets in public repositories or with unauthorised parties.

9.8 Disconnecting a gateway

You may disconnect a Payment Gateway at any time from supported settings (subject to product capability). After disconnection, new online Guest collections via that gateway will fail. You remain responsible for outstanding refunds, chargebacks, and settlement of prior transactions with the gateway provider.

10.Data, Content & Privacy

10.1 Customer Content ownership

As between you and Eazee Stay, you retain ownership of Customer Content. You grant us a worldwide, non-exclusive licence to host, process, transmit, display, and create operational derivatives of Customer Content solely to provide, secure, and improve the Services, and as otherwise permitted by these Terms or required by law.

10.2 Guest personal data

When Guests book through your property, you typically act as a data fiduciary / controller for guest personal data under applicable privacy laws (including India's Digital Personal Data Protection Act, 2023, where applicable). We process such data as a service provider / data processor to deliver the Services. You must:

  • Provide Guests with required privacy notices and obtain any consents needed for your marketing or other non-essential processing.
  • Only upload lawful guest data needed for reservations, operations, and legal compliance.
  • Respond to guest access, correction, or deletion requests as required by law; we will reasonably assist where the data resides in the Platform.

10.3 Security

We implement administrative, technical, and organisational measures designed to protect the Services. No method of transmission or storage is completely secure. You are responsible for securing devices, staff access, and local exports you create.

10.4 Backups & retention

We may retain operational logs, webhook event records, and backups for security, dispute resolution, and legal compliance. Upon termination, we may delete or anonymise Customer Content after a commercially reasonable retention period, except where retention is required by law or for legitimate business interests (for example, billing records).

11.Acceptable Use

You agree not to:

  • Violate any law, regulation, or third-party right in connection with the Services.
  • Probe, scan, or test the vulnerability of the Platform without our prior written consent, or attempt unauthorised access to systems or data.
  • Interfere with or disrupt the integrity or performance of the Services (including denial-of-service attacks or abusive automation).
  • Use the Services to send spam, phishing messages, or deceptive communications to Guests or other parties.
  • Misrepresent room availability, amenities, star ratings, or mandatory fees to Guests.
  • Resell, sublicense, or white-label the Platform except as expressly permitted in a written agreement with us.
  • Use automated scraping to extract data from the Services outside of documented APIs and rate limits.
  • Upload malicious code or content that is defamatory, harassing, or unlawfully discriminatory.

We may investigate violations and suspend or terminate Accounts that pose risk to Guests, other customers, or the Platform.

1212.Intellectual Property

The Platform, including software, UI designs, documentation, logos, and trademarks of Eazee Stay, is owned by us or our licensors and is protected by intellectual property laws. Except for the limited right to use the Services during your subscription, no rights are granted to you. You may not copy, modify, reverse engineer (except to the limited extent permitted by mandatory law), or create derivative works of the Platform.

Feedback you provide about the Services may be used by us without restriction or compensation.

1313.Third-Party Services

The Services may interoperate with third-party products including Payment Gateways, email/SMS providers, maps, analytics, authentication, cloud infrastructure, and channel managers. Third-party services are governed by their own terms. We are not responsible for third-party outages, pricing changes, or policy changes. Enabling a third-party integration constitutes your instruction to exchange relevant data with that provider as needed for the feature to function.

1414.Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that: (a) the Services will be uninterrupted, error-free, or free of harmful components; (b) inventory, rate, or payment status will always be perfectly synchronised with third-party systems in real time; (c) any particular occupancy, revenue, or ranking outcome will be achieved; or (d) Payment Gateways will approve, settle, or refund any transaction.

Some jurisdictions do not allow certain disclaimers; in those cases, disclaimers apply to the fullest extent permitted.

1515.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAZEE STAY AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, REGARDLESS OF THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO EAZEE STAY FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF GREATER, ONE THOUSAND INDIAN RUPEES).

The limitations above do not exclude liability that cannot be limited under applicable law (for example, fraud or wilful misconduct where such exclusion is prohibited).

Guest payment risk sits with you and your gateway

We are not liable for failed Guest payments, delayed settlements, chargebacks, gateway fees, bank errors, or losses arising from your incorrect rate, tax, or refund configuration — except to the extent caused by our proven wilful misconduct in operating the software itself.

1616.Indemnification

You will defend, indemnify, and hold harmless Eazee Stay and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your properties, hospitality operations, or Guest stays; (b) Customer Content; (c) your breach of these Terms; (d) your violation of law or third-party rights; (e) disputes between you and Guests, staff, agents, or Payment Gateways; and (f) taxes, GST, or regulatory obligations relating to your business.

1717.Term & Termination

These Terms apply from your first access to the Services and continue until terminated. You may stop using the Services and request Account closure subject to settlement of outstanding fees. We may suspend or terminate access immediately if you materially breach these Terms, fail to pay fees, create security or fraud risk, or if we are required to do so by law.

Upon termination: (a) your right to use the Services ceases; (b) platform fees already paid are non-refundable except as required by law or expressly agreed; (c) sections that by their nature should survive (including ownership, payment obligations, disclaimers, liability limits, indemnity, and governing law) will survive.

We recommend exporting operational data you need before cancellation. We may provide a reasonable export window where technically feasible.

1818.Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to any mandatory consumer protections that apply, courts in Bhuj, Gujarat, India shall have exclusive jurisdiction over disputes arising from these Terms or the Services, and you consent to such venue.

Before filing a formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute in good faith for at least thirty (30) days.

1919.Changes to These Terms

We may update these Terms from time to time to reflect new features, legal requirements, or business practices. When we make material changes, we will take reasonable steps to notify you (for example, by email, in-product notice, or updating the "Last updated" date on this page). The revised Terms become effective on the date stated. If you do not agree, you must stop using the Services and cancel your subscription before the effective date.
